Aims & Objectives:

At the completion of this unit, students will be able to:
  • Understand the importance of company law rules and company law regulation in the Australian commercial environment
  • Develop an understanding of the role company law plays in regulating both business activity and company officers
  • Develop an understanding of the role and duties of directors and other company officers
  • Identify and implement problem solving skills in real world case examples
  • Demonstrate an understanding of current regulation of companies and other business structures in Australia
  • Synthesise legal arguments from multiple points of view

Teaching Methods:

Lecture (2 hours), Tutorial (1 hour)
Lectures are designed to inform and increase the legal knowledge of students with regard to the regulation, implementation and enforcement of company law in Australia. Tutorials are designed to develop problem-solving skills and facilitate and encourage the development of verbal communication skills. Students are expected to articulate and assess multiple legal arguments and arrive at a considered and balanced point of view.

Assessment:

Assignment/Class Test (20-30%)
Examination (70-80%)

  • Topic 3: Company’s Relations with Outsiders
  • Topic 4: Share Capital, Membership and Dividends
  • Topic 5: Directors and Corporate Governance
  • Topic 6: Directors’ Duties: Good Faith
  • Topic 7: Directors’ Duties: Duty of Care
  • Topic 8: Members’ Meetings and Members’ Remedies
  • Topic 9: Insolvency
